On 18 May 2016, Deminor has organized a conference in Cercle du Lac in Louvain-La-Neuve on the topic “The minority shareholder: essential partner or necessary evil?”. Our invitees Benoît Coppée (Investsud) and Denis Steisel (Emakina) were the speakers at the debate. Pierre Nothomb, managing partner of Deminor, acted as a moderator.
During the debate, the different speakers have shared their practical experience on questions related to minority shareholders.
Mainly the following topics were discussed:
- How to structure the partnership between the historical shareholders and an investor in a balanced way (financing methods, governance structure)? How to prepare the “exit” from the partnership?
- What’s the importance of the liquidity of a minority stake? What are the advantages and difficulties of the position of the minority shareholder of a listed company?
- To what extent has the emergence of the principles of good governance contributed to reducing conflict situations?
- How to value a minority interest? What with minority interest discounts?
In concluding the debate, Pierre-Alexis Léonard, manager at Deminor, presented in a brief manner the “set of instruments” at the disposal of the minority shareholder, followed by a Q&A session.
The participants were then given the opportunity to continue their discussions at a reception.
